Terms of Use

These Terms of Use (the “Terms”) form a legally binding agreement between you (“you”, “member” or “user”) and ProfitPulse Capital (“ProfitPulse”, “we”, “us” or “our”) and govern your access to and use of www.profitpulsecapital.com, together with our research, market data, dashboards, tools, courses, newsletters, community channels and membership services (collectively, the “Services”). Please read them carefully. They incorporate our Privacy Policy and Disclaimer by reference. By using the Services, you agree to be bound by these Terms.

Acceptance of Terms

By accessing, browsing, registering for or otherwise using any part of the Services, you confirm that you have read, understood and agree to be bound by these Terms and all policies referenced within them. If you do not agree with any part of these Terms, you must not access or use the Services.

Certain features, plans or promotions may be governed by additional or supplementary terms presented to you at the point of purchase or use. Where those supplementary terms conflict with these Terms in respect of the relevant feature, the supplementary terms will prevail for that feature only. All other provisions of these Terms remain in full force.

We may revise these Terms from time to time as described in Changes to Terms. Your continued use of the Services after any revision takes effect constitutes acceptance of the updated Terms.

Eligibility

To use the Services, you must be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. You must not be a person barred from receiving the Services or from trading in securities under any applicable law, regulation or order.

If you are accessing or using the Services on behalf of a company, firm, family office or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

The Services are intended for use in jurisdictions where they are lawful. We make no representation that the Services, or any content within them, are appropriate or available for use outside India. You are solely responsible for complying with the laws of the jurisdiction from which you access the Services, and access is prohibited where such use would be contrary to law.

Nature of Services

ProfitPulse Capital is a research-led stock-market information and education firm. Our signals, research reports, dashboards, market insights, courses, newsletters and community discussions are provided for general informational and educational purposes only. They are prepared without reference to the specific investment objectives, financial situation, risk appetite or particular needs of any individual.

Nothing in the Services constitutes personalised investment, legal, accounting or tax advice, an offer or solicitation to buy or sell any security, or a recommendation that any particular security, strategy or transaction is suitable for you. You should not treat any content as a substitute for advice from a qualified professional who is registered or licensed to provide such advice in your jurisdiction.

Any prices, quotes, charts, index levels or portfolio examples shown on the website or in the dashboards may be delayed, illustrative or simulated, and are provided for demonstration only. They should not be relied upon for actual trading or execution. You are responsible for verifying any information independently and for conducting your own due diligence before acting on it.

Accounts & Registration

Some parts of the Services require you to create an account. When you register, you agree to provide accurate, current and complete information, and to keep it updated. Providing false, misleading or incomplete information may result in suspension or termination of your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorised by you. You agree to notify us immediately at Shubhamstockresearch@proton.me if you suspect any unauthorised access to or use of your account.

• Accounts are for a single named individual. You may not share, sell, transfer or sublicense your account or credentials.
• We may, at our reasonable discretion, refuse registration, reclaim a username, or suspend an account to protect the integrity and security of the Services.
• You are responsible for securing the devices and networks you use to access your account.

Membership, Billing & Cancellation

We offer free and paid membership plans. The features, limits and fees for each plan are described on our Pricing page and may be updated from time to time. All fees are quoted in Indian Rupees (₹) and are exclusive of, or inclusive of, applicable taxes such as GST as indicated at checkout.

Paid plans are billed on a recurring basis (for example monthly or annually) and renew automatically at the end of each billing cycle unless cancelled beforehand. By subscribing to a paid plan, you authorise us and our payment partners to charge your chosen payment method for the applicable fees, including any taxes, until you cancel.

• Cancellation. You may cancel a paid plan at any time from your account settings or by contacting Shubhamstockresearch@proton.me. Cancellation stops the next renewal; your access continues until the end of the current paid period.
• Refunds. Except where required by applicable law, fees already paid are non-refundable and we do not provide pro-rata refunds for partial billing periods or for periods during which you did not use the Services.
• Price changes. We may change plan fees or features. We will give you reasonable prior notice of any material change, which will apply from your next renewal. If you do not agree, you may cancel before the change takes effect.
• Non-payment. If a payment fails or is reversed, we may suspend or downgrade your access until the outstanding amount is settled.

Acceptable Use

You agree to use the Services lawfully, responsibly and only for their intended purpose. In particular, you agree that you will not, and will not permit any other person to:

• violate any applicable law, regulation or the rules of any exchange or regulator, or use the Services to facilitate any unlawful trading, market manipulation or insider dealing;
• copy, reproduce, republish, redistribute, resell, licence, broadcast or publicly display any research, report, data, course or other content from the Services without our prior written permission;
• scrape, crawl, harvest, cache or use automated means to extract data from the Services, or place unreasonable load on our infrastructure;
• reverse engineer, decompile or attempt to derive the source code, models or methodologies underlying the Services, except to the extent permitted by law;
• circumvent, disable or interfere with security features, access controls, usage limits or authentication mechanisms;
• share your credentials, or access the Services through another member’s account or a shared or resold subscription;
• upload or transmit any virus, malware or other harmful code, or engage in any activity that disrupts, damages or degrades the Services;
• impersonate any person or entity, or misrepresent your affiliation with ProfitPulse or any third party;
• present, forward or resell our educational content to others as if it were personalised investment advice, or otherwise in a misleading manner.

Intellectual Property

All content made available through the Services — including text, research, analysis, commentary, graphics, charts, dashboards, code, software, user interfaces, course materials, logos and the “ProfitPulse Capital” name and marks — is owned by or licensed to us and is protected by copyright, trademark and other intellectual-property laws in India and internationally.

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services and their content for your own personal, non-commercial purposes. This licence does not permit you to reproduce, distribute, modify, create derivative works from, publicly display or commercially exploit any part of the Services without our prior written consent.

If you send us feedback, ideas or suggestions about the Services, you grant us a perpetual, royalty-free, worldwide licence to use and incorporate them without any obligation or compensation to you.

Third-Party Content & Links

The Services may display or link to content, data feeds, quotes, tools or websites operated by third parties. Such material — including market data and index values — is provided for convenience and general information only, may be delayed or illustrative, and is not controlled by us.

We do not endorse, guarantee or assume responsibility for the accuracy, completeness or reliability of any third-party content, nor for the products, services or practices of any third party. Any dealings you have with third parties, including payment providers and brokers, are solely between you and that third party, and are governed by their terms and policies.

Disclaimers of Warranties

The Services and all content within them are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the accuracy, completeness, timeliness, availability or reliability of the Services or any content.

We do not warrant that the Services will be uninterrupted, secure or error-free, that defects will be corrected, or that any content, signal, model or forecast will prove accurate or profitable. Any forward-looking statements are opinions based on assumptions that may not materialise, and actual market outcomes may differ materially.

Limitation of Liability

To the maximum extent permitted by applicable law, ProfitPulse Capital and its directors, officers, employees, analysts, educators and partners shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading or investment losses, loss of data, loss of goodwill or business interruption, arising out of or in connection with your use of, or inability to use, the Services — even if advised of the possibility of such damages.

Because our content is educational and general in nature, you assume full responsibility for any investment or trading decision you make and for its outcome. To the extent any liability cannot be excluded, our total aggregate liability to you for all claims arising out of or relating to the Services shall not exceed the greater of (a) the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) ₹5,000. Nothing in these Terms limits any liability that cannot be lawfully excluded.

Indemnification

You agree to indemnify, defend and hold harmless ProfitPulse Capital and its directors, officers, employees, analysts, educators, agents and partners from and against any claims, demands, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or connected with: (a) your use or misuse of the Services; (b) your breach of these Terms or any policy incorporated into them; (c) your violation of any law or regulation; or (d) your infringement of the rights of any third party.

Termination

We may suspend, restrict or terminate your access to all or part of the Services at any time, with or without notice, if we reasonably believe you have breached these Terms, if required to protect the Services or other members, or if we discontinue a feature or plan. You may stop using the Services or cancel your membership at any time as described in Membership, Billing & Cancellation.

On termination, the licence granted to you ends and you must stop using the Services and any content obtained through them. Provisions that by their nature should survive termination — including those on the nature of the Services, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, the Services, or their subject matter (including non-contractual disputes) are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

You agree that the courts at Gurugram, Haryana, India shall have exclusive jurisdiction to settle any such dispute or claim, and you irrevocably submit to the jurisdiction of those courts. Before commencing proceedings, we encourage you to contact us so we can attempt to resolve the matter in good faith. Nothing in this clause limits any rights you may have under applicable law or before any competent regulator.

Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our Services, our business practices, or legal and regulatory requirements. When we do, we will revise the “Last updated” date at the top of this page and, where the changes are material, take reasonable steps to notify you — for example by email or through a notice on the website.

Your continued use of the Services after the updated Terms take effect constitutes your acceptance of them. If you do not agree with the revised Terms, you should stop using the Services and, if applicable, cancel your membership.
